Widgets Terms of Use

• Widget: Any ClinicBooking-branded badge, star-rating panel, review/feed card, provider card, treatment card, embed code, or API-powered display we make available for you to place on your website or app.
• You: The website/app owner, publisher, developer, or organization implementing the Widget, and any person acting on your behalf.
• ClinicBooking Content: Any data the Widget presents (e.g., names, marks, ratings, counts, images, copy, links, code, and metadata).

Subject to continued compliance with these Terms, ClinicBooking grants you a worldwide, revocable, non-exclusive, non-transferable, non-sublicensable license to implement and display the Widget unmodified on your owned-and-operated website(s)/app(s) solely to reference your ClinicBooking presence. All other rights are reserved.

• No endorsement. The Widget is informational only and does not imply ClinicBooking endorsement, certification, or ranking.
• Attribution & link-back. You must retain all embedded links (e.g., to the ClinicBooking profile or treatment page) and trademark notices. Do not remove or relabel required links.
• Brand integrity. Do not alter ClinicBooking logos, colors, typography, star shapes, or rating format. Scale proportionally; ensure legibility on mobile and desktop.
• Accuracy. Do not overlay custom numbers, stars, or language suggesting different ratings, counts, or statuses.
• Accessibility. Do not remove alt text/labels. Maintain sufficient color contrast and keyboard focus. You are responsible for ADA/WCAG compliance of your page.

• Unmodified code. Implement the embed code as provided. Do not inline, concatenate, or minify the code in a way that changes behavior.
• No interference. Do not block network calls, strip headers/referrers, rewrite URLs, or lazy-load in a way that prevents disclosures from rendering.
• Transport security. Serve the Widget over TLS 1.2+; do not downgrade protocols. If you use a CSP, allow our domains; do not use unsafe-inline to patch the Widget.
• Rate limits. Do not hammer or scrape Widget endpoints. We may throttle or block abusive behavior.
• Malware-free. Your page must be free of malicious code. We may disable delivery if your site is compromised.
• API tokens (if any). Keep keys confidential; do not embed secrets client-side unless expressly designed for public use. Rotate compromised keys immediately and notify us.

ClinicBooking (and its licensors) own all right, title, and interest in and to the Widget and ClinicBooking Content, including copyrights, trademarks, and all other IP. Except for the limited license in Section 2, no rights are granted by implication or otherwise. You shall not claim ownership of, or create derivative works from, the Widget or display content that is confusingly similar to it.

We may (but are not obligated to) provide support or maintenance, push updates, change features, or discontinue the Widget at any time without liability. We may remotely disable a Widget that violates these Terms or presents a security, legal, or reputational risk.

You will defend, indemnify, and hold harmless ClinicBooking, its affiliates, and their officers, directors, employees, and agents from and against all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Widget implementation or use; (b) your site/app, content, or ads; (c) your breach of these Terms or applicable law (including privacy, advertising, or medical regulations); (d) alleged or actual PHI mishandling; or (e) alleged infringement caused by your materials.

• Laws & advertising codes. You will comply with all applicable laws, regulations, and industry codes (e.g., FTC, FDA/EMA advertising rules, state medical board rules, ASA/CAP where applicable).
• Export controls. You will not use or export the Widget in violation of U.S. export laws, sanctions, or embargoes (e.g., OFAC, EAR). You represent you are not on any restricted party list.

We respect intellectual property. If you believe material accessible via our Widgets infringes your copyright, send a written notice to: DMCA Agent, Spyface Tech Company, LLC (d/b/a ClinicBooking), 30 N Gould St Ste N, Sheridan, WY 82801, USA · Email: hello@spyface.com (subject: DMCA) including all information required by 17 U.S.C. §512(c)(3).

• Term. These Terms begin when you implement the Widget and continue until terminated.
• Your termination. You may stop using the Widget at any time and must remove all code and references upon termination.
• Our suspension/termination. We may suspend or terminate access to the Widget (or require removal) immediately for suspected breach, risk, legal demand, or business reasons.
• Effect. Sections 6–17 survive termination.

We may update these Terms from time to time. Material changes will be posted on this page with a new "Last Updated" date. Your continued use after changes become effective constitutes acceptance.

• Law & venue. These Terms are governed by the laws of the State of Wyoming, USA (without regard to conflicts rules).
• Binding arbitration. Any dispute arising out of or relating to these Terms or the Widget will be resolved by final, individual arbitration under the AAA Commercial Rules before a single arbitrator seated in Sheridan County, Wyoming. Judgment may be entered in any court of competent jurisdiction.
• No class actions. YOU AND CLINICBOOKING WAIVE ANY RIGHT TO PARTICIPATE IN CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDINGS. ONLY INDIVIDUAL CLAIMS ARE PERMITTED.
• Injunctive relief. Either party may seek temporary or injunctive relief in court to protect IP or confidential information.
• Time to bring claims. Any claim must be filed within one (1) year after it arises or be permanently barred.

• Assignment. You may not assign or transfer these Terms (by law or otherwise) without our prior written consent. We may assign freely.
• Entire agreement. These Terms, together with the ClinicBooking Terms of Service and Privacy Policy, are the entire agreement regarding Widgets and supersede prior or contemporaneous agreements relating to the subject matter.
• Severability; waiver. If any provision is unenforceable, it will be modified to the minimum extent necessary or severed; the rest remains in effect. No waiver is effective unless in writing.
